APEX MICRO-TRADING PLATFORM - TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing or using the Apex Micro-Trading Platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. SERVICE DESCRIPTION

Apex provides algorithmic trading software and tools for prediction markets and cryptocurrency exchanges. Apex is NOT a broker, custodian, or investment adviser. We provide technology infrastructure only.

3. RISK DISCLOSURE

TRADING INVOLVES SUBSTANTIAL RISK OF LOSS.

  • Past performance does not guarantee future results
  • You may lose some or all of your capital
  • Algorithmic trading strategies can fail unexpectedly
  • Market conditions change and historical patterns may not repeat
  • You are solely responsible for all trading decisions
  • Apex provides no guarantees of profitability

    • 4. NON-CUSTODIAL SERVICE

  • We do not hold, custody, or control your funds
  • You maintain full control of your exchange API keys
  • You are responsible for securing your API keys
  • Apex acts only as software infrastructure
  • All trades execute through your own exchange accounts

    • 5. NOT FINANCIAL ADVICE

  • The Service does not provide investment, financial, legal, or tax advice
  • All content is for informational and educational purposes only
  • Consult a licensed financial adviser before trading
  • Apex is not registered as an investment adviser under the Investment Advisers Act of 1940

    • 6. ELIGIBILITY

    You must:

  • Be at least 18 years old
  • Comply with all applicable laws in your jurisdiction
  • Not be located in a restricted jurisdiction
  • Have authorization to use the exchanges you connect

    • 7. API KEY SECURITY

  • You grant Apex limited permission to execute trades via your API keys
  • API keys must be restricted to trading permissions only (no withdrawals)
  • You are responsible for API key security
  • Immediately revoke API access if you suspect unauthorized use
  • Apex encrypts but does not guarantee absolute security of stored keys

    • 8. ACCOUNT SUSPENSION

    We may suspend or terminate your account if:

  • You violate these Terms
  • We detect suspicious or illegal activity
  • Required by law or regulatory authority
  • We discontinue the Service

    • 9. FEES

  • Subscription fees as displayed on pricing page
  • No performance fees unless explicitly agreed
  • No refunds for partial month usage
  • Exchange trading fees are separate and charged by exchanges

    • 10. LIMITATIONS OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Apex is provided "AS IS" without warranties of any kind
  • We are not liable for trading losses, system downtime, or data loss
  • Our total liability shall not exceed fees paid in the prior 12 months
  • We are not responsible for exchange failures or API issues

    • 11. INDEMNIFICATION

    You agree to indemnify Apex from any claims arising from:

  • Your use of the Service
  • Your trading activities
  • Your violation of these Terms
  • Your violation of applicable laws

    • 12. GOVERNING LAW

    These Terms are governed by the laws of Delaware, United States, without regard to conflict of law provisions.

    13. DISPUTE RESOLUTION

    Any disputes shall be resolved through binding arbitration in Delaware under AAA rules, except for small claims court actions.

    14. CHANGES TO TERMS

    We may modify these Terms at any time. Continued use after changes constitutes acceptance.
